Terms of Use

Governed by the laws of Switzerland (Canton of Geneva)

1. Introduction and Acceptance

Welcome to StudyBro, an AI-powered study assistant application (the “App”). These Terms of Use (“Terms”) govern your access to and use of the App and any related services provided by StudyBro.

By creating an account, downloading, or otherwise using StudyBro, you confirm that:

  • you have read, understood, and agree to be bound by these Terms;
  • you are of the required minimum age, or a parent/legal guardian has consented on your behalf.

If you do not agree to these Terms, do not use the App.

These Terms should be read together with our Privacy Policy, which explains how we collect and process your personal data.

2. Changes to These Terms

We may update these Terms from time to time to reflect new features, legal requirements, or clarifications. When we make material changes, we will notify you via in-app notice and/or email at least 14 days before the change takes effect. Continued use of the App after the effective date constitutes acceptance of the updated Terms.

3. Eligibility, Age Requirements, and Parents

3.1 Minimum Age

StudyBro is not intended for children under 13 years old. We do not knowingly collect personal data from children under 13. If we become aware that a child under 13 has created an account, we will close the account and delete associated data as soon as reasonably possible.

3.2 Users Aged 13 to 17

If you are between 13 and the age of legal majority in your jurisdiction (typically 18), you may only use StudyBro with the consent and under the supervision of a parent or legal guardian. By allowing a minor to use StudyBro, the parent or guardian:

  • confirms they have read and accepted these Terms on behalf of the minor;
  • consents to the minor’s use of the App;
  • accepts responsibility for the minor’s activity, including any in-app purchases.

3.3 Parental Safety Disclaimer

We use content filters to reduce the risk of inappropriate AI-generated content, but no filter is perfect. Parents and guardians are responsible for supervising a minor’s use of the App. If you encounter concerning content, please report it to studybro.ch@gmail.com.

4. Account Registration and Security

To use StudyBro, you must create an account. You agree to:

  • provide accurate, current, and complete information during registration;
  • keep your login credentials confidential and not share them with others;
  • accept responsibility for all activity that occurs under your account;
  • notify us immediately at studybro.ch@gmail.com if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that contain false or misleading information.

5. Subscriptions, Payments, and Refunds

5.1 Freemium Model

StudyBro operates on a freemium model. A free tier is available to all users, with optional paid subscriptions (“Plus” and “Pro”) providing access to additional features including enhanced AI usage.

5.2 Apple In-App Purchases Only

All paid subscriptions and AI credit purchases are processed exclusively through Apple’s in-app purchase system. As a result:

  • Apple handles all payment credentials; we do not receive your card or bank details.
  • All purchases are subject to Apple’s terms, policies, and review processes.
  • Apple’s App Store Terms of Service apply to all transactions.

5.3 Auto-Renewal and Cancellation

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time through your Apple Account settings (Settings → [your name] → Subscriptions on iOS). Cancellation takes effect at the end of the current paid period; you retain access to premium features until then.

5.4 Refunds

All purchases are generally non-refundable once charged, except where Apple’s policies or mandatory applicable consumer protection law provides refund rights. Refund requests must be submitted through Apple’s refund process. We cannot override Apple’s refund decisions.

5.5 AI Credits

Certain AI features are governed by a credit system. Credits are non-transferable, have no cash value, and expire at the end of the billing period unless otherwise stated. Credits are non-refundable except as required by law.

6. User Content and Intellectual Property

6.1 Your Content

“User Content” means any content you input, upload, create, or store in StudyBro, including study notes, flashcards, AI prompts, scanned documents, attachments, and profile information. You retain all ownership rights in your User Content.

6.2 Licence You Grant Us

By submitting User Content to StudyBro, you grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, process, transmit, and display your User Content solely to the extent necessary to provide, maintain, secure, and improve the App, and to comply with our legal obligations. This licence ends when you delete the content or your account (subject to backup retention).

6.3 Your Responsibility for Content

You are solely responsible for your User Content. You confirm that you have all rights necessary to upload or scan it, and that it does not infringe any third-party intellectual property rights, privacy rights, or applicable law.

6.4 Academic Integrity

StudyBro is an educational tool. You may use AI-generated content for personal study, note-taking, and learning. You must comply with your educational institution’s rules regarding academic integrity and plagiarism. Submitting AI-generated work as your own where this is prohibited by your institution is your responsibility. We accept no liability for disciplinary or academic consequences arising from misuse of the App.

6.5 StudyBro Intellectual Property

Except for User Content, all rights in the App, including its code, design, branding, and built-in content, are owned by StudyBro (or licensors). You may not reverse-engineer, decompile, copy, reproduce, or misuse the App or any StudyBro trademarks.

7. AI Features and Disclaimers

7.1 AI Provider

AI functionality in StudyBro is routed through OpenRouter, a third-party API service that connects to one or more underlying AI model providers. When you use an AI feature, your prompt and any relevant context are transmitted to OpenRouter and the applicable model provider. We do not intentionally include your account identifiers (such as your email) with prompts.

7.2 Not Professional Advice

StudyBro’s AI is an automated educational tool. It is not a human, and its responses are not professional legal, medical, financial, therapeutic, or other expert advice. AI outputs are for general educational and informational purposes only. Do not rely on StudyBro for high-stakes decisions.

7.3 Accuracy and Limitations

AI-generated content may be inaccurate, incomplete, biased, or outdated. You must independently verify important information. We make no guarantees as to the accuracy, completeness, or fitness for purpose of any AI output.

7.4 No Sensitive Information in Prompts

Do not include passwords, precise addresses, phone numbers, financial details, or other sensitive personal data in AI prompts.

7.5 Content Safety

We apply content filters to reduce the generation of harmful or inappropriate content, but these filters are not infallible. You agree not to attempt to bypass or manipulate these filters, and not to use AI features to generate or distribute illegal, hateful, violent, or exploitative content.

7.6 Web Search

When the web search feature is enabled, your prompts may trigger live internet queries. Information retrieved from the web is not reviewed by us and is provided as-is.

8. Acceptable Use

You agree not to use StudyBro to:

  • violate any applicable law or regulation;
  • upload, generate, or distribute unlawful content, including content that promotes terrorism, violence, hate, or discrimination, or that depicts or exploits minors;
  • hack, disrupt, scrape, overload, or interfere with the App or its infrastructure;
  • attempt to access another user’s account or data without authorisation;
  • create accounts at scale using bots, scripts, or automated tools;
  • misuse or attempt to circumvent AI safety filters;
  • violate Apple’s App Store Review Guidelines or our providers’ terms of service.

Violations may result in warnings, suspension, or permanent termination of your account. We may report serious violations (e.g., illegal content) to the relevant authorities where required by law.

9. Friends Feature

StudyBro offers an optional social feature that allows you to connect with other users as friends. Friend relationships require an explicit invite and acceptance. Friends can see limited information such as your username, profile picture, and high-level activity indicators (e.g., your streak). Friends cannot access your study notes, scanned documents, flashcard content, or AI conversations.

You may remove friends at any time through the App settings.

10. Territorial Scope

StudyBro is available in most countries worldwide. We may restrict or block access in countries subject to international sanctions, export controls, or other applicable legal restrictions.

11. Translations

We may provide translations of these Terms (and related documents) for your convenience. In the event of any inconsistency or conflict between a translation and the English version, the English version controls. If you believe a translation is inaccurate, please contact us.

12. Disclaimers of Warranties

StudyBro is provided “as is” and “as available” without any warranty of any kind, express or implied, to the fullest extent permitted by applicable law. We do not warrant that:

  • the App will be uninterrupted, error-free, or secure at all times;
  • any AI-generated content will be accurate, complete, or suitable for your purposes;
  • defects will be corrected.

Nothing in these Terms limits or excludes any warranty that cannot lawfully be excluded under applicable consumer protection law.

13. Limitation of Liability

To the fullest extent permitted by applicable law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the App, including but not limited to loss of data, loss of profits, or damage to reputation.
  • Our total aggregate liability to you for any and all claims is limited to the greater of (a) the total amount you paid us in the six (6) months preceding the event giving rise to the claim, or (b) CHF 50.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under applicable law (including Swiss mandatory consumer protection rules).

14. Indemnification

You agree to indemnify, defend, and hold harmless StudyBro from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; or (c) your infringement of any third-party rights.

15. Termination

15.1 By You

You may stop using StudyBro at any time. You can delete your account via the App (Settings → My Account → Delete Account) or by contacting studybro.ch@gmail.com. Account deletion is permanent.

15.2 By Us

We may suspend or terminate your access to the App (or certain features) if:

  • you seriously or repeatedly violate these Terms;
  • your use creates security, legal, or operational risks for us or other users;
  • we are required to do so by law or by order of a competent authority.

Where reasonably practicable, we will give you prior notice. In urgent cases (e.g., serious abuse, illegal content, or imminent security risk), we may act immediately without notice.

15.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. Sections 6 (User Content and IP), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 16 (Governing Law), and 17 (Miscellaneous) survive termination.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Switzerland, in particular the laws of the Canton of Geneva, without regard to its conflict of law principles.

Subject to any mandatory consumer protection rules that give you the right to bring claims in your country of residence, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Geneva, Switzerland.

If you are a consumer resident in the EU, you may also have the right to use the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

17. Miscellaneous

  • Entire agreement: These Terms (together with the Privacy Policy) constitute the entire agreement between you and us regarding the App and supersede all prior understandings.
  • Severability: If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable. All other provisions remain in full force.
  • No waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of the App, provided your rights are not materially reduced.
  • Force majeure: We are not liable for failure to perform obligations due to causes beyond our reasonable control.
